Class B shareholders of Gathuthi Tea Factory Company Limited will vote on a recommended dividend of Ksh4,193,028 for the year ended June 30, 2026. The proposal will come up at the company’s 49th Annual General Meeting (AGM), set for Friday, November 27, 2026.
Members will gather at the factory grounds, with proceedings starting at 9:30am. Company Secretary Mwangi Wahome issued the notice on behalf of the board on October 30, 2026.
Business will open with the reading of the notice, the tabling of proxies and a check on whether a quorum is present. Shareholders will then turn to the ordinary agenda. First, they will receive, consider and adopt the audited financial statements for the year ended June 30, 2026, together with the reports of the chairman, the directors and the auditors.

After the accounts, members will be asked to approve the dividend. They will also be asked to sanction directors’ fees of Ksh1,920,000 for the same financial year.
The agenda further includes the auditors. Shareholders will vote on reappointing Ngigi and Partners under section 721(2) of the Companies Act, 2015, and on authorising the directors to set the firm’s pay. Any other business for which proper notice has been given will close the meeting.
Members who cannot attend in person may send a proxy. Under section 298(1) of the Companies Act, 2015, that representative can speak and vote on a member’s behalf, and does not have to be a shareholder of the company. However, the duly completed proxy form must reach the company’s offices at Gathuthi Tea Factory at least 48 hours before the meeting starts, or before any adjourned sitting.
